Terms of Service for Metrix AdsManager

Welcome to Metrix AdsManager Super SaaS (the “Application”). These Terms of Service (“Terms”) govern your use of the Application, which provides an interface to the Meta Marketing API. The Application is owned and operated by Digital Seed International LLC, located at Sharjah Media City, Sharjah, UAE, 00000 (“Company”, “we”, “us”, or “our”).
By using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Application.
1. Description of Service
The Application is a software tool that runs locally on your computer. It consists of a front-end user interface (metrix.html) and a local back-end server (app.py). The Application allows you to programmatically create, manage, and analyze your advertising campaigns on the Meta (Facebook) platform by sending requests to the official Meta Marketing API using your own credentials.
2. User Responsibilities
As a user of the Application, you agree to the following:
- Credentials: You are solely responsible for obtaining and securing your own Meta Marketing API Access Token, Ad Account ID, Page ID, and Pixel ID (“Credentials”). The Application uses these Credentials as you provide them. You are responsible for all activity that occurs under your Credentials.
- Compliance: You are solely responsible for ensuring that your advertising campaigns and all associated content (images, text, etc.) comply with all applicable laws, regulations, and Meta’s Advertising Policies. The Application is a tool, and the Company is not responsible for the content or compliance of the ads you create.
- Local Environment: You are responsible for maintaining the security of the local computer on which you run the Application.
3. Relationship with Meta
The Application is a third-party tool designed to interact with the Meta Marketing API. Your use of the Meta platform is governed by Meta’s own terms and policies, including but not limited to:
- Meta’s Terms of Service
- Meta’s Advertising Policies
- Meta’s Platform Terms
By using the Application, you acknowledge and agree that you are also bound by all applicable Meta terms. The Company is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
4. Intellectual Property
The Company owns all rights, title, and interest in and to the Application, including its “look and feel,” source code, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable license to use the Application for your personal or internal business purposes, subject to these Terms.
5. Disclaimer of Warranties
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
6. Limitation of Liability
IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM YOUR USE OF THE APPLICATION. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY LOSS OF PROFITS, DATA, OR GOODWILL, OR ANY DAMAGES RESULTING FROM BUGS, ERRORS, OR INACCURACIES OF CONTENT.
THE COMPANY’S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE APPLICATION IS LIMITED TO THE AMOUNT, IF ANY, YOU PAID TO USE THE APPLICATION.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Sharjah, UAE.
8. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of any changes by updating the “Last Updated” date of these Terms. Your continued use of the Application after any such changes constitutes your acceptance of the new Terms.
